General Terms and Conditions

This is an English translation for information purposes only. Only the Hungarian version is legally binding. Magyar változat →

In the absence of a different written agreement, the general terms and conditions set out in this document (hereinafter: GTC) contain the basic rules governing the quotations issued for products sold and services to be performed by DIGITAL Kft.

These GTC form an integral part of every legal transaction concluded — which may in particular, but not exclusively, be an individual contract, a framework contract or an order form — and may be validly departed from only by a written agreement of the parties to that effect.

Validity of quotations:

  • The prices stated in the quotation are net prices and therefore do not include 27% VAT
  • Each quotation is valid for an official order received by 12:00 on the 10th calendar day from its date of issue or on the deadline date specified in it
  • If a new version of a quotation is issued, the previous version ceases to be valid
  • In the case of a partial order:
    • An issued quotation is valid for its entire content; in the case of a partial order, we reserve the right to change the prices
    • If the User's order covers only the products included in the quotation — i.e. no quoted service is ordered — the ordered products will be delivered in their unopened original factory packaging
  • Exchange rates:
    • As the products are sourced from abroad, our HUF prices are calculated on the basis of the HUF-EUR and/or HUF-USD selling rate applicable to corporate customers of Unicredit Bank Hungary Zrt. on the date the quotation is issued
  • If, by the time of invoicing, the forint–foreign currency exchange rate changes by more than 1%, or if there is a change in ancillary costs (customs duty, VAT, etc.) or in the manufacturer's prices, we shall be obliged to apply the resulting changes at the time of invoicing
  • In the case of a quotation issued in foreign currency:
    • Any request for invoicing in HUF must be indicated on the order at the latest, as we are unable to fulfil requests submitted later.
    • For invoicing in HUF, the amount is converted at the selling rate of the relevant currency (HUF-EUR and/or HUF-USD) applicable to corporate customers of Unicredit Bank Hungary Zrt.
  • All products included in the quotation remain the property of DIGITAL Kft. until the purchase price has been paid in full

Delivery times:

Expected to be 2–10 weeks from receipt of the official order, depending on the delivery capacity of the manufacturers/developers and wholesalers (distributors).

Force majeure:

DIGITAL Kft. undertakes guaranteed delivery times only for products held in its own stock, and guaranteed service times only for work undertaken by it and performed by its subcontractors. As DIGITAL Kft. has no means of influencing any changes to the delivery times undertaken by manufacturers or their distributors, such cases shall be deemed force majeure on the part of DIGITAL Kft., for which DIGITAL Kft. cannot accept liability.

Installation and commissioning:

  • Quotations issued for products distributed by DIGITAL Kft. do not include installation and commissioning services; installation/configuration services are always shown as a separate item.
  • The time requirements stated for the activities included in the quotation are calculated on the basis of our experience to date with End Users.
  • Work may be scheduled following delivery of the products, at a time agreed with the Customer's representative, but to start within 4 weeks at the latest.
  • If, owing to end-user requirements/reasons, the work can be performed only outside normal working hours, the fee payable depends on when the work is performed:
    • Working days 08:00–17:00: the quoted fee
    • Other times: twice the quoted fee
  • The conditions between the Parties for successful performance of the quotation:
    • Holding a kick-off meeting within 10 working days of delivery
    • Continuous communication and mutual provision of information
    • A weekly meeting on the status of the project, preferably held on a fixed day and at a fixed time (Every DIGITAL quotation includes one 1-hour meeting per week. If, for reasons not attributable to the staff of DIGITAL Kft., this allowance proves insufficient during performance, we reserve the right to charge for the working time required for further meetings and to invoice it at the close of the project.)
    • If additional work becomes necessary owing to changes in technical requirements arising during performance, it will be invoiced on the basis of a specific statement of the work done

Warranty:

As indicated for each product, and at least in accordance with the statutory and regulatory requirements in force.

Payment terms:

By bank transfer on the basis of an advance payment invoice.

Handling of certificates of performance and invoices not settled by the deadline:

  • If, for reasons beyond our control, we receive a certificate of performance for completed delivery and/or work late, and as a result we are unable to comply with our legal obligations, we reserve the right to recover retrospectively the amount of any penalty imposed by the competent authority.
  • We send a reminder for invoice debts more than 5 working days overdue. If the invoice is not paid by the deadline stated in the reminder, our company is entitled to recover all invoiced and unpaid amounts through judicial or extrajudicial proceedings.
  • We are obliged to have software licences and services (e.g. product follow-up) not paid for by the specified deadline deactivated by the rights holders/manufacturers, and we can have them reactivated only after receipt of the consideration.

Fault reporting:

If you wish to report a fault in connection with a product or service sold by us, you can do so by completing the e-Form available at https://helpdesk.digital.co.hu.
